On Tuesday, June 19, Institutional Investor's Corporate Financial Executive Summit and the Chief Financial Officers of NYSE-listed companies nominated for Institutional Investor's 2012 "Best CFOs of the Year" award will visit the NYSE. This year's top chief financial officers were determined by Institutional Investor magazine as part of its 2011 All-America Executive Team: Best CFOs ranking, based on a survey of more than 780 buy-side analysts and portfolio managers and 570 sell-side analysts at securities firms and financial institutions. These individuals were asked to nominate up to four CFOs in each sector. These votes were then weighted, with first place votes counting more than second place votes, and so on, to produce a score for each executive that II used to compile the ranking

  • Burger King Worldwide Inc Completes Merger With Justice Holdings Limited

    Burger King Worldwide Inc announced the consummation of its business combination with a subsidiary of Justice Holdings Limited. Burger King Worldwide will commence trading on the New York Stock Exchange under the ticker symbol 'BKW.' As a result of the closing of the transaction, 3G Capital, a global investment firm and Burger King Worldwide's principal stockholder, received approximately $1.4 billion in cash and will continue as the majority shareholder with an approximately 71% stake in the combined publicly traded company. The former Justice shareholders and Justice founders own approximately 29% of the combined publicly traded company. Tegris Advisors acted as lead mergers and acquisitions financial advisors to Justice on the transaction. Barclays Capital Inc. rendered a fairness opinion to Justice's Board of Directors. Kirkland & Ellis LLP acted as legal counsel to Burger King Worldwide and 3G Capital. Greenberg Traurig, P.A. and Sullivan & Cromwell LLP acted as legal counsel to Justice on the transaction.
